    1. Parties and contracting entity

    These Terms govern services provided by TURZEN UK LTD (Company No. 16688889, registered in England & Wales), Registered office: 71–75 Shelton Street, Covent Garden, London WC2H 9JQ (“we/us”), to the client named in our quotation or statement of work (“you”).
    Contracting entity. The legal contracting entity is the one named on our quotation/Order (TURZEN UK LTDorTurzen Co., Ltd. (China) acting via its UK representative). If a signed Long-Term Cooperation Agreement (“LTA”) exists with you, that LTA prevails over these Terms where they differ (see §18).

    2. Definitions

    Architectural Visualisation / ArchViz: Computer-generated visuals simulating architectural design.
    Still Rendering: A static image rendered from your design model, including eye-level, semi-aerial and aerial perspectives.
    Animation: A sequence of still frames compiled to video.
    VR/MR Preview: Interactive or pre-rendered previews for immersive review.
    Auxiliary Designs: Model building, tests and look-dev required during your design process.

    3. Services & scope

    We produce Still Renderings, Animations, VR/MR previews and Auxiliary Designs from your supplied materials and brief, with reasonable visual development. The Order specifies deliverables, resolution, angles and schedule.

    4. Ordering & formation

    A project starts when you accept our quotation/Order (email approval or PO). A Requirements List (angles, mood, resolution, schedule) may be attached and forms part of the Order and these Terms. Where an LTA exists, its “Requirements List/Task Orders” mechanism applies.

    5. Your responsibilities

    Provide timely models/drawings (e.g., CAD/BIM), references, site information and decision-maker access; confirm angles and mood on Miro/Teams; secure third-party permissions for any content you supply; nominate a single authorised reviewer.

    6. Schedule & milestones

    We agree a milestone plan at project start (e.g., angle set → interim previews at agreed checkpoints → final delivery). Dates are estimates; we will use reasonable skill and care to meet agreed targets. Changes to scope, inputs or decisions may adjust schedule and fees.

    7. Fees & payment

    • Default billing currency:GBP. USD may be used if stated in the Order or where a signed LTA specifies USD.

    • Standard terms:50% upfront / 50% on delivery. Fast-pay discount 2% if the balance clears within 7 days; otherwise NET 14.

    • Prices exclude VAT (if/when applicable) and third-party costs unless stated.

    • Late payment: Statutory interest and recovery costs may apply under the UK Late Payment of Commercial Debts (Interest) Act 1998. We may suspend work until accounts are current.

    • LTA precedence: Any scheduled/periodic settlements or agreed rate cards in an LTA override this §7 where different.

    8. Revisions & change control

    Unless the Order states otherwise, the initial draft includes one revision round limited to angle, lighting and materials. New views, extra rounds, client-side model changes after confirmation, animation path changes, or artwork changes after sign-off are additional and billed at our then-current rates (available on request).
    For post-delivery re-work where proportional pricing is needed, we may apply our standard basis model 30% / rendering 40% / post 30% as a fair allocation.

    9. Delivery & formats

    Final stills: high-resolution JPG/PNG; animations: MP4 (H.264) unless otherwise agreed. Layered/source files (e.g., PSD/EXR or scene files) are not included unless expressly purchased or stated in the Order.

    10. Intellectual property & licence

    Ownership. We own our working files and background IP; you own the designs/materials you supply.
    Licence grant (default). Upon full payment, we grant you a non-exclusive, worldwide, perpetual licence to use the Deliverables for planning, marketing and internal presentations (the “Permitted Purpose”). This includes use by your agents and appointed marketing vendors solely to promote your project on your behalf.
    Restrictions. No resale or stock-library licensing; and no use of the Deliverables (or any derivatives) to train, fine-tune or evaluate AI models without our prior written consent. Any use beyond the Permitted Purpose requires an agreed extension.
    Credit. Where reasonably practicable after public release, please credit “© TURZEN”, unless prohibited by NDA or agreed otherwise.

    11. Confidentiality & data protection

    Each party will keep the other’s confidential information secure and use it only for the project. Personal data will be handled under our Privacy Policy (/privacy). We may use vetted processors (e.g., hosting, storage, transfer) under written terms and confidentiality.

    12. Portfolio & publicity

    We may display the Deliverables in our portfolio, website and social channels after public release, unless you notify us in writing and provide a reasonable NDA. We will not pre-empt your public announcements.

    13. Warranties & disclaimers

    We warrant to perform with reasonable skill and care. Visualisations are representational and not construction documents or technical advice; measurements are not independently verified. Except as required by law, all other warranties are excluded.

    14. Liability

    Cap. Our total liability arising out of a project is limited to the fees paid for that project.
    Exclusions. We are not liable for indirect or consequential loss, loss of profit, or loss of opportunity. Nothing limits liability for death/personal injury caused by negligence, fraud, or other liability that cannot be limited at law.

    15. Suspension, cancellation & termination

    We may suspend for non-payment or material breach. If you cancel or place a project on hold, you will pay for work done to date, booked artist time and non-refundable third-party costs. Where feasible, paused work will be rescheduled by mutual agreement.

    16. Force majeure

    Neither party is liable for delay or failure caused by events beyond reasonable control (including power/network outages, strikes, government action, extreme weather). Timeframes will extend reasonably; either party may terminate if force majeure persists 30 days.

    17. Subcontracting & assignment

    We may subcontract specialist tasks while remaining responsible for performance. Assignment by either party requires prior written consent (not to be unreasonably withheld).

    18. Precedence & entire agreement

    The contract consists of (1) any signed Long-Term Cooperation Agreement (LTA) with you, (2) our quotation/Order (and any Requirements List), and (3) these Terms, in that order of precedence. Together they are the entire agreement and supersede prior discussions.

    19. Notices

    Formal notices may be sent to UK@turzen.com and to your last notified address/email. Notices take effect on receipt (or, for email, when not returned undelivered).

    20. Governing law & jurisdiction

    These Terms are governed by the laws of England & Wales. The courts of England have exclusive jurisdiction. If an executed LTA specifies a different governing law/forum, the LTA prevails for work issued under that LTA.

    21. General

    Severability. If any clause is invalid, the rest remain effective.
    Waiver. A failure to enforce is not a waiver.
    Variation. Changes must be in writing and agreed by both parties.
    Third-party rights. No third party has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.

    • Project data: briefs, models, references, meeting notes.

    • Transaction data: invoices, payments, bank remittance info.
